Online Company 2.0: Innovations in Online Company Formation
On May 24, 2024, Ordinance No. 155/2024/1 was published, which reforms the procedure for the online formation of commercial and civil companies in commercial form. This regulation also modifies the information system that supports the Online Company and the Commercial Register Regulation. This reform was driven by the need to develop new technological architectures and new models based on a strong digital transformation movement, leading to the creation of Online Company 2.0.

What is Online Company 2.0?

Online Company 2.0 allows for reducing bureaucracy and simplifying the process of creating companies.

What changes now?

The new regulation establishes the special procedure for the online formation of companies, now including the provision for filling in the necessary information to comply with the declaratory obligation of the beneficial ownership register at the time of company formation. The online formation of companies is carried out on the digital justice platform available here.

With this legislative change, the procedures associated with the formation of a company have been transformed to become fully digital and dematerialized.

Among other changes provided for in the Ordinance, we highlight:

  • User authentication through digital certificates;
  • Authorization for the sharing of data of interested parties for the automatic filling of necessary information within the scope of the aforementioned procedure;
  • Acceptance of the appointment to the position of manager or director as stated in the company's articles of association or constitutive act of the approved model;
  • Electronic filling of the elements necessary for the submission of the start of activity declaration for tax purposes;
  • Filling in the information necessary to comply with the declaratory obligation of the beneficial ownership register and the submission of the necessary documents for the review of the request and the correction of any deficiencies;
  • Electronic signature of documents;
  • Request for commercial registration of the company's formation and the adhesion of the respective members of the administrative bodies to the professional attribute certification system;
  • Payment of due charges through electronic means.

Especially for the most entrepreneurial individuals interested in starting their own company, the rules are now simpler!
